1. Eligibility and Registration

To use the CleanQuity platform, you must be at least 18 years old and legally capable of entering into binding agreements. Registration requires accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

2. Nature of the Service

CleanQuity enables fractional green energy investment in SPVs (Special Purpose Vehicles) that own clean energy projects. Users can:

• Invest in fractional shares.
• Track performance and dividends.
• Participate in peer-to-peer secondary trading (where applicable).
• Receive dividends from power sales via utility or third-party clients.

CleanQuity is not a broker-dealer or registered investment advisor. All investments carry risk and are offered through exemptions allowed under applicable securities laws.

3. Investment Risk Disclosure

Investing in clean energy projects involves risks including but not limited to project underperformance, regulatory shifts, liquidity limitations, and delayed or reduced dividend payouts. Past performance is not indicative of future returns.

4. Platform Usage and Service Fees

CleanQuity may charge service-related fees for platform usage, account management, or investment transactions. Details of any applicable charges will be transparently disclosed to users before completion of any transaction. Fee structures are subject to change at CleanQuity’s discretion.

5. Intellectual Property

All content, branding, code, algorithms, documentation, each and everything visible on the platform are the exclusive property of CleanQuity Inc. and are protected by intellectual property laws.

6. User Conduct

Users may not use the platform to:

• Violate any local, state, national, or international laws.
• Upload harmful, defamatory, or illegal content.
• Attempt to hack or disrupt the platform.

Accounts found in violation will be suspended or terminated and legal actions will be taken towards that individual.

7. Confidentiality and Data Privacy

By using the platform, you consent to the collection and use of your personal and investment data in accordance with our Privacy Policy. Proprietary investment opportunities and documentation shared through the platform must be kept confidential.

8. Securities Compliance

All investment offerings are made under applicable exemptions including Regulation D, Regulation A, or corresponding local securities laws. You may be required to verify your status as an accredited or qualified investor.

9. Termination and Account Deactivation

We reserve the right to suspend or deactivate your account at any time if we determine there has been a breach of these Terms or for any reason we deem necessary, with or without notice.

10. Disclaimers and Limitation of Liability

CleanQuity provides no guarantees as to investment returns. We are not liable for:

• Investment losses
• Platform interruptions
• Inaccuracies in third-party data

11. Arbitration and Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association. No class actions are permitted.

12. Governing Law

These Terms shall be governed by the laws of the State of New Jersey without regard to conflict of law principles.
